Subject to the dispute-resolution clause below, the courts at Thrissur, Kerala, India shall have exclusive jurisdiction.
Dispute Resolution
The parties shall first attempt to resolve any dispute amicably through good-faith discussions. Disputes that remain unresolved within 30 days shall proceed to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator. The seat and venue of arbitration shall be Thrissur, Kerala, India, and the proceedings shall be conducted in English. The award shall be final and binding.
Either party may seek urgent interim relief from the Thrissur courts.
General
- Entire Agreement — These Terms (together with the Privacy and Cookie Policies) constitute the complete agreement regarding the Website and supersede all prior understandings.
- Severability — Invalid or unenforceable provisions do not affect the remaining provisions.
- Waiver — Non-enforcement of any provision does not constitute a waiver.
- Assignment — You cannot assign these Terms without prior written consent; Apro may assign them in connection with a merger, acquisition, or asset sale.
